Agent Agreement for Self-Employed Taxi Drivers

This Agent Agreement ("Agreement") is entered into by and between Scarborough BC Ltd trading as Boro Cars ("Agent"), with its principal place of business at 147a Victoria Road, Scarborough YO11 1SY, and the undersigned self-employed taxi driver ("Driver"). By applying an electronic signature during portal signup, the Driver agrees to be bound by this Agreement.

1. Agency Relationship
The Agent agrees to act as an agent for the Driver, offering work on a flexible basis. This Agreement does not create an employer-employee relationship, partnership, or joint venture between the Agent and the Driver. The Driver operates independently and is responsible for their own taxes, National Insurance, and operational expenses under UK law. The Agent agrees not to share or disclose earnings of the Driver unless legally required to do so.

2. Exclusivity and Work Provision
The Driver agrees not to provide taxi driving related services for any other agents, firms, or directly to customers without the Agent's prior written consent whilst this Agreement is in force. The Agent will supply work through its booking system but is not obliged to guarantee a minimum amount of work. Drivers are authorised to have additional employment elsewhere without requiring written permission from the Agent.

3. Vehicle and Insurance
Drivers using their own vehicles are fully responsible for all related costs, including maintenance, insurance, and operational expenses. If the Driver uses a vehicle provided by the Agent, the Agent is responsible for insurance and maintenance, which may incur an insurance charge levied on the Driver. The Driver is responsible for checking the vehicle prior to each shift and ensuring that the vehicle is safe to provide the services intended. Drivers are responsible for cleaning both the interior and exterior of the vehicle. Drivers who are found to be leaving the Agent's vehicles in an untidy condition may incur a charge of up to £50 for cleaning of the vehicle.

4. Commission, Payments, and Fees
The Driver agrees to pay the Agent a fixed commission fee on each fare collected. Cash and card payments are collected directly by the Driver. Account work payments are collected by the Agent and accounted for in the weekly commission invoice. The Driver will incur a weekly office fee to cover provisions provided for drivers and a daily fee for the use of the Agent's software application. All commission rates and fees are subject to change with 1 week's notice from the Agent. The Driver agrees to make payments weekly upon receipt of credit sheets or invoices from the Agent within 48 hours. Failure to make payments on time may result in restricted access to the driver software application. All fees are subject to VAT at the standard rate unless otherwise specified.

5. Fare Control, Shifts, and Workload
The Agent sets and may adjust fares, operating hours, commissions, and fees without notification, although notifications will be provided where deemed appropriate. Shifts and working hours are allocated on a first-come, first-served basis, with priority given to those with over two years of service and a higher degree of flexibility. Long jobs and additional shifts are assigned at the discretion of the shift operator based on workload and experience. RotaCloud will be used as the official workload scheduling system of hours, subject to change at the Agent's discretion. The Agent is not obligated to provide continuous work or fixed shift patterns.

6. Driver Obligations
Drivers agree to: take all fares offered unless exempted by the council, while retaining discretion to refuse customers who are abusive, aggressive, or under the influence of drugs or excessive alcohol; disclose any driving offences, arrests, warrants, or financial difficulties impacting their role; respect the Agent's brands, customers, and employees; represent the Agent's brand by wearing the specified uniform at all times whilst representing the Agent and acting in a professional manner; request time off by providing at least two weeks' notice for up to 2 days leave and at least four weeks' notice for periods of leave over 2 days; and drive within applicable UK highway laws.

7. Agent Obligations
The Agent agrees to provide regular vehicle maintenance to its vehicles, comply with local operating policies and procedures, have the appropriate insurance covering its employees and vehicles, and authorise leave requests fairly and in accordance with its policies.

8. Termination
Either party may terminate this Agreement with two weeks' written notice via email. The Agent reserves the right to terminate the Agreement immediately without notice if the Driver fails to adhere to the obligations set out above.

9. General Provisions
This Agreement constitutes the entire understanding between the parties, superseding all prior agreements. Amendments must be in writing and signed by both parties.

10. Electronic Signature
The Driver agrees that typing their full legal name and submitting this signup form constitutes their electronic signature and intent to sign this Agreement. The Driver agrees that this electronic signature has the same evidential effect as a handwritten signature for the purpose of recording acceptance of this Agreement. The Agent may retain the Agreement text, signer name, signer email, typed signature, timestamp, IP address, and user agent as part of the audit trail of acceptance.
